Corporate Special Counsel (Technology Transactions & Licensing)

We are seeking a motivated individual to join our dynamic Technology Transactions & Licensing practice, with a focus on information technology (IT) transactions. In this role, you will work closely with our clients to structure, draft and negotiate a variety of intellectual property and commercial transactions, including license, service, development, distribution, marketing and partnering agreements. As part of a top-tier team, you will also advise on intellectual property aspects, including diligence matters, of mergers & acquisitions and financings.

This position is well suited for someone who excels in a fast-paced environment and seeks direct client contact. You will have the opportunity to partner with client business teams and in-house counsel on a variety of matters across all stages of the product and company lifecycle. You will work closely with entrepreneurs and executives across the client spectrum to advise on licensing and commercialization strategy of technology, data, and digital assets and counsel on how to align legal risk with business goals.

Qualifications

• Graduated with a JD or LLM from an ABA-accredited law school
• Must be admitted or eligible for admission in the Mintz office location in which you will work
• Minimum 7 years of experience structuring, drafting and negotiating complex licensing and commercial agreements with an information technology focus in a law firm setting
• Knowledge of intellectual property law, including patents, trademarks, trade secrets, and copyrights, supported by relevant law school coursework
• Experience advising on the intellectual property and technology aspects of M&A and financing transactions
• Familiarity with software licensing, SaaS, cloud computing, platform technologies, artificial intelligence, cybersecurity, and data-driven business models
• Experience representing clients in one or more of the following industries: life sciences, healthcare, software, fintech, artificial intelligence, cybersecurity, or sustainable energy
• Excellent negotiation, problem-solving, and written and oral communication skills
• Professionalism in working and engaging with clients and colleagues
• Ability to prioritize, meet deadlines, and balance competing responsibilities
• Ability to stay organized and exercise extreme attention to detail
• Ability to collaborate and work effectively in team settings

The salary range for this position is $250,000 - $375,000. This position is bonus eligible.
